Advanced Drainage Systems Announces Launch of Common Stock Offering

HILLIARD, Ohio--(BUSINESS WIRE)-- Advanced Drainage Systems, Inc. (NYSE: WMS) (“ADS” or the “Company”), a leading global manufacturer of water management products and solutions for commercial, residential, infrastructure and agricultural applications, today announced it has launched an underwritten public offering (the “Offering”) of 7,500,000 shares of its common stock, par value $0.01 per share (“Common Stock”). In connection with the Offering, ADS intends to grant the underwriters a 30-day option to purchase up to an additional 1,125,000 shares of its Common Stock.

ADS intends to use the net proceeds from this Offering for the repayment of a portion of the outstanding borrowings under its existing senior secured credit facility, with the remaining proceeds (if any) being used for general corporate purposes. Such borrowings were incurred to finance the previously announced acquisition of Infiltrator Water Technologies Ultimate Holdings, Inc. (“Infiltrator”).

Barclays, Morgan Stanley, Baird, BofA Merrill Lynch and PNC Capital Markets LLC are acting as joint book-running managers and Boenning & Scattergood, Inc. is acting as co-manager in connection with the Offering.

The Offering is being made pursuant to an effective shelf registration statement including a base prospectus, that has been filed with the Securities and Exchange Commission (the “SEC”) and declared effective on August 14, 2019 and is available on the SEC website.
